Agreement to Terms

By accessing or using the Tickerbot website, developer API, dashboard, and related services (collectively, the “Service”), you agree to be bound by these Terms of Use (“Terms”) with Tickerbot, LLC (“we,” “us,” or “our”). If you do not agree to these Terms, do not use the Service.

Description of Service

Tickerbot, LLC provides a developer API for market data, computed signals, and webhook delivery. The Service exposes US equities and select cryptocurrencies as a SQL-queryable database, with pre-computed indicators and condition flags, accessible through HTTP endpoints and webhook subscriptions. The Service is for informational and engineering purposes only and does not constitute financial advice.

Account Registration

To use the Service, you must create an account. You agree to:

  • Provide accurate and complete information
  • Maintain the security of your account credentials and API keys
  • Notify us immediately of any unauthorized access or suspected key compromise
  • Be responsible for all activity under your account and all requests made with your API keys
  • Be at least 18 years old or the age of majority in your jurisdiction

Subscriptions and Payments

Subscription Plans

The Service offers paid subscription tiers (currently Hobby, Pro, Scale, and Enterprise), each starting with a free trial period. Paid tiers are billed in advance on a recurring monthly or annual basis. Current pricing, included quotas, trial length, and feature differences are listed on our pricing page.

Free Trial

Paid tiers may include a free trial period. You will be charged when the trial period ends unless you cancel before the trial expiration date.

Auto-Renewal

Paid subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You will be charged the then-current subscription price.

Cancellation and Downgrade

You may cancel or change your subscription at any time through your account dashboard. Cancellation takes effect at the end of the current billing period. On cancellation or failed renewal, your API keys stop authenticating and any active webhook subscriptions are disabled. Webhook configurations, saved rules, and custom universes remain stored on your account and can be re-enabled from the dashboard after you resubscribe. No refunds are provided for partial billing periods.

Payment Processing

Paid subscriptions are processed by Stripe, Inc. By providing payment information, you agree to Stripe’s terms and conditions. We do not store full payment card details on our servers.

Price Changes

We reserve the right to change subscription prices with reasonable advance notice. Price changes apply to subsequent billing periods after notice is provided.

Enterprise Agreements

Enterprise tier usage is governed by a separate written agreement between you and Tickerbot, LLC. To the extent of any conflict between these Terms and an executed Enterprise agreement, the Enterprise agreement controls.

Acceptable Use

The Service is built for programmatic and automated access — using API keys, scripts, agents, bots, and trading systems is the intended use. You agree to use the Service responsibly. Specifically, you agree not to:

  • Use the Service for any illegal purpose or in violation of any applicable laws or regulations
  • Attempt to gain unauthorized access to our systems, other users’ accounts, or other users’ API keys
  • Bypass, circumvent, or attempt to evade rate limits, quotas, tier restrictions, or anti-abuse measures
  • Share, leak, or expose API keys publicly (including in source repositories, client-side code, screenshots, or documentation accessible to third parties)
  • Reverse engineer, decompile, or disassemble our backend infrastructure, signal-computation logic, or other proprietary systems
  • Resell, redistribute, sublicense, or repackage raw Tickerbot data as a competing data feed without an Enterprise agreement that explicitly grants redistribution rights
  • Use the Service to build a product whose primary purpose is to replicate the Service itself
  • Transmit viruses, malware, or other harmful code to or through the Service
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity
  • Use the Service in any manner that could disable, overburden, or impair the Service, including denial-of-service attacks or excessive load patterns inconsistent with documented intended use

Disclaimer of Investment Advice

The Service is for informational and engineering purposes only and does not constitute financial, investment, trading, tax, legal, or professional advice. All market data, signals, indicators, condition flags, and webhook deliveries are provided “as is” without warranties of any kind. You are solely responsible for any decisions, trades, or downstream products you build using the Service. Past performance does not guarantee future results. Trading and investing in securities involves risk, including possible loss of principal.

Market Data and Accuracy

We strive to provide accurate and timely market data and signals, but we do not guarantee the accuracy, completeness, timeliness, or availability of any information returned by the Service. Data may be delayed, contain errors, miss corporate actions, or be subject to upstream provider issues. Signal definitions may change over time as we improve them. We are not liable for any trading losses, missed opportunities, or other damages resulting from inaccurate, delayed, missing, or changed data.

Third-Party Services

The Service relies on third-party infrastructure and service providers, including (but not limited to) Firebase / Google Cloud (authentication, database, serverless functions), Stripe (payments), DigitalOcean (compute and database hosting), and the identity providers you choose to sign in with (Google, GitHub). Your use of the Service implicitly relies on these providers; their availability and terms apply alongside ours. We are not responsible for outages, errors, or policy changes by third-party providers.

Intellectual Property

All content, features, signal definitions, and functionality of the Service (including software, text, graphics, logos, documentation, and design) are owned by Tickerbot, LLC or our licensors and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission, except as expressly permitted by these Terms or an Enterprise agreement.

Your Content

You retain ownership of any content you submit to the Service, including SQL queries, webhook subscriptions, and target URLs (collectively “Your Content”). By submitting Your Content, you grant us a worldwide, non-exclusive, royalty-free license to store, process, evaluate, and transmit Your Content solely as required to operate the Service. We do not use Your Content to train models, sell to third parties, or otherwise repurpose it beyond delivering the Service to you.

Termination

We may suspend or terminate your account at any time, with or without notice, for violation of these Terms, for non-payment, or for any other reason permitted by law. You may terminate your account at any time through the dashboard. Upon termination, your right to use the Service immediately ceases and your API keys are deactivated. Sections of these Terms that by their nature should survive termination (including disclaimers, limitations of liability, indemnification, and dispute resolution) will survive.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TICKERBOT, LLC AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, MISSED TRADES, OR INVESTMENT LOSSES, ARISING FROM YOUR USE OF (OR INABILITY TO USE) THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR ACCURACY OF DATA. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR THAT ANY SPECIFIC SIGNAL OR WEBHOOK WILL FIRE WITHIN A PARTICULAR TIME WINDOW.

Indemnification

You agree to indemnify, defend, and hold harmless Tickerbot, LLC and its affiliates from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, your products or services built on the Service, or your violation of any rights of another party.

Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in court. You waive any right to a jury trial or to participate in a class action.

Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms and updating the “Last Updated” date. Your continued use of the Service after changes constitutes acceptance of the modified Terms.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy and any executed Enterprise agreement, constitute the entire agreement between you and Tickerbot, LLC regarding the Service.
